Terms of Service

These terms govern use of PadiDesk, operated by PadiDesk Technologies Limited. Please read them alongside our Privacy Policy.

1. Agreement

These Terms of Service form an agreement between you (and, where you act for a business, that business) and PadiDesk Technologies Limited, a company registered in Nigeria. By creating an account or using PadiDesk you agree to these terms and to our Privacy Policy.

2. What PadiDesk provides

PadiDesk is business-management and conversational-commerce software. Depending on the business type and the integrations enabled, it may include sales, inventory, customers, suppliers, expenses, purchases and supplier payments, invoices and receipts, receivables and payables, reports, service jobs, hospitality operations, WhatsApp Business messaging, AI-assisted conversational features, voice-note handling and payment-provider integrations.

Available features vary by business type, may change as the product evolves, and some depend on third-party services that we do not control.

3. Eligibility and business use

PadiDesk is intended for businesses and their authorised representatives, not for personal or household use, and is not directed at children. You must be able to enter into a binding agreement and, if signing up for a business, be authorised to do so on its behalf. You agree to provide accurate registration and business information and to keep it up to date.

4. Accounts and security

  • You are responsible for keeping your login credentials confidential.
  • Multi-factor authentication is required for privileged and internal administrative access and may be required for other sensitive actions.
  • Account owners control which staff are invited, what roles they hold, and which phone numbers are authorised to act through the WhatsApp integration.
  • You are responsible for actions taken through accounts and authorised numbers under your control.
  • You must notify us at support@padidesk.com promptly if you suspect unauthorised access.

This does not reduce PadiDesk's own responsibility for the security of the platform as described in our Privacy Policy.

5. Acceptable use

You agree not to use PadiDesk to:

  • carry out unlawful activity or fraud
  • gain or attempt unauthorised access to accounts, data or systems
  • abuse or overload third-party systems, including messaging or payment providers
  • distribute malicious software
  • impersonate another person or business
  • collect or use personal data unlawfully
  • defeat, probe or circumvent platform security or usage limits
  • send spam, harassment or messaging that breaches messaging-platform policies

We may suspend or restrict access where use breaches this section, harms other users, or is required to protect the platform or comply with law. Criticism or complaints about PadiDesk are not a breach of these terms.

6. Your business responsibilities

You remain responsible for:

  • the accuracy of the business records you enter or approve
  • the products, services and prices you offer
  • taxes applicable to your business
  • refunds, returns and other obligations to your customers
  • authorising and supervising your staff
  • lawful communication with your customers
  • compliance with the laws and sector rules applicable to your business

PadiDesk is software. It is not your accountant, tax adviser, lawyer, bank, payment processor or employer, and it does not assume those roles.

7. AI-assisted features

  • AI-assisted output may contain errors, omissions or misinterpretations.
  • You should review AI-assisted results before relying on them for important decisions.
  • AI output is not legal, tax, accounting or other professional advice and does not replace professional judgement.
  • Authoritative business actions — recording sales, adjusting stock, issuing invoices, recording payments — are executed by PadiDesk's server-side routines and remain subject to the permissions and domain rules configured for your account.
  • Not every message is processed by an AI model; routine operations use deterministic logic.

8. WhatsApp and Meta

WhatsApp functionality in PadiDesk:

  • requires an eligible WhatsApp Business / Meta account that you connect
  • depends on services operated by Meta Platforms
  • is subject to Meta's terms, policies, approvals and availability
  • may stop working if your access is revoked or suspended, if templates or numbers are restricted, or if the provider is unavailable

We do not control and cannot guarantee the availability, pricing or policy decisions of Meta or of your messaging provider.

9. Payment providers

  • Merchants connect their own supported payment-provider account (currently Paystack) to PadiDesk.
  • Payments are processed by that provider under the provider's agreement with you.
  • The provider may require onboarding, verification or compliance checks.
  • We do not guarantee that a provider will approve or maintain your account.
  • Provider outages, limits or policy changes may affect payment features in PadiDesk.

PadiDesk does not hold, receive or disburse your customers' funds and is not the merchant of record for your transactions. Settlement is between you and your payment provider.

10. Fees

PadiDesk is currently free to start, with usage allowances that may apply to certain features such as assistant conversations. We may introduce or change paid plans in future; where we do, the applicable pricing and terms will be presented before you subscribe, and existing accounts will be given reasonable notice. Charges from third parties — for example messaging fees from Meta or fees from your payment provider — are separate and payable by you.

11. Termination, data and exports

  • You may stop using PadiDesk at any time and may request account closure.
  • We may suspend or terminate access for breach of these terms, for security or legal reasons, or where continued provision is not viable, giving notice where reasonably possible.
  • Export your data before closing an account, using the export and reporting features available in the app.
  • After termination, access to the workspace and its features ends.
  • Deletion and retention after termination follow our Privacy Policy and the data deletion process. Some records may be retained where law, accounting, security, fraud prevention or dispute resolution requires it, and backups age out on their normal lifecycle.

12. Service availability

We work to keep PadiDesk available and reliable, but the service is provided without an uptime guarantee. Availability can be affected by planned or emergency maintenance, failures at third-party providers such as messaging, payment, AI or hosting services, internet and network outages, security incidents, and events beyond our reasonable control. We do not offer a service level agreement at this time.

13. Intellectual property

PadiDesk, including its software, branding, design, documentation and platform content, belongs to PadiDesk Technologies Limited or its licensors. You may not copy, resell, reverse-engineer or create derivative works from it except as permitted by law.

You retain all rights in your business and customer content. You grant PadiDesk a limited, non-exclusive licence to host, process, transmit and display that content solely to provide and support the service, to keep required audit and security records, and as otherwise described in the Privacy Policy. We do not claim ownership of your business data.

14. Disclaimers and liability

PadiDesk is provided “as is” and “as available”. To the extent permitted by applicable law, we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement.

To the extent permitted by applicable law, PadiDesk is not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill or data arising from your use of the service. Nothing in these terms excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence.

15. Governing law and disputes

These terms are governed by the laws of the Federal Republic of Nigeria. The parties will first attempt to resolve any dispute in good faith by contacting support@padidesk.com. Where a dispute cannot be resolved, it will be subject to the jurisdiction of the courts of Nigeria. Nothing here affects mandatory rights you may have under the law of your own country.

16. Changes to these terms

We may update these terms as the product and applicable law change. We will update the “Last updated” date above and, for material changes, give notice in the app or by email. Continued use after changes take effect constitutes acceptance.
